In accordance with the terms of the engagement agreement, we may offer and sell up to a maximum aggregate amount of 10,000,000 shares of our common stock, $0.001 par value per share, from time to time through Chardan, acting as agent. Our common stock is traded on The NASDAQ Capital Market under the symbol “LIVE.” The last reported sale price of our common stock on May 19, 2014 was $2.99 per share. Sales of our common stock, if any, under this prospectus supplement and the accompanying prospectus will be made by any method permitted that is deemed an “at the market” offering as defined in Rule 415 under the Securities Act of 1933, as amended, or the Securities Act, including by means of ordinary brokers’ transactions at market prices, in block transactions or as otherwise agreed by Chardan and us.
