Each restricted stock unit represents a contingent right to receive one share of INSE common stock (the "Common Stock"), subject to forfeiture as set forth in the Inspired Entertainment, Inc. 2016 Long-Term Incentive Plan. The restricted stock units vest in three equal installments: Installment 1 -- On the later of (i) December 23, 2017 and (ii) the day following the first period of thirty (30) consecutive trading days during which the average of the closing prices for th e Common Stock is $12.50 or higher. Installment 2 -- On the later of (i) December 23, 2018 and (ii) the day following the first period of thirty (30) consecutive trading days during which the average of the closing prices for the Common Stock is $15.00 or higher. Installment 3 -- On the later of (i) December 23, 2019 and (ii) the day following the first period of thirty (30) consecutive trading days during which the average of the closing prices for the Common Stock is $17.50 or higher.
